It is not the expected cash proceeds at closing. Evernorth says the transaction and related private placements have raised more than $1 billion, while the business combination is expected to provide about $300 million in gross cash proceeds, including $225 million from private placements, $30 million of convertible-note financing and about $48 million of trust proceeds.
